PLEASE READ THESE TERMS AND CONDITIONS ("Terms") CAREFULLY. THEY FORM A LEGALLY BINDING AGREEMENT BETWEEN YOU ("you," "your," or "User") AND MYREVIFY, INC. ("MyRevify," "we," "us," or "our") GOVERNING YOUR ACCESS TO AND USE OF THE MYREVIFY WEBSITE LOCATED AT HTTPS://MYREVIFY.COM (THE "Site") AND ANY RELATED CONTENT, PRODUCTS, OR SERVICES (COLLECTIVELY, THE "Services").
By accessing or using the Services, you: (a) acknowledge that you have read and understand these Terms; (b) represent that you are at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) and have the legal capacity to enter into a binding agreement; and (c) accept these Terms and agree to be legally bound by them. If you do not agree to these Terms, do not access or use the Services.
CHANGES TO THESE TERMS We may modify these Terms at any time in our sole discretion. We will post the revised Terms on the Site and update the "Effective Date" above. Material changes will become effective 30 days after posting; non‑material changes take effect immediately. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
THE SERVICES MyRevify is an online platform that allows Users to discover, write, and share reviews of products, services, and businesses ("Reviews"). We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without liability to you.
ACCOUNT REGISTRATION AND SECURITY 3.1 Registration. To access certain features you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. 3.2 Eligibility. You may not create an account if you are barred from using the Services under applicable law or have been previously suspended or removed by MyRevify. 3.3 Security. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with these obligations.
USER CONTENT 4.1 Definition. "User Content" means Reviews, comments, ratings, messages, photos, videos, and any other content you submit, post, or display on or through the Services. 4.2 License Grant. By submitting User Content, you grant MyRevify a worldwide, non‑exclusive, royalty‑free, sublicensable, and transferable license to host, store, use, reproduce, modify, create derivative works from, publicly perform, publicly display, publish, and distribute your User Content in connection with operating and providing the Services. 4.3 Representations. You represent and warrant that (a) you own or have all necessary rights to your User Content; (b) your User Content does not infringe any third‑party right or violate any law; and (c) your User Content is accurate and not misleading. 4.4 User Content Standards. You agree that your User Content will not: • Contain personal information of another person without permission; • Be defamatory, obscene, hateful, or otherwise objectionable; • Promote illegal activities or violate any law or regulation; • Include unsolicited promotions, political campaigning, or spam; or • Contain viruses or other harmful code. We may remove or restrict access to any User Content at our sole discretion and without notice.
PROHIBITED CONDUCT You agree not to: (a) Use the Services for any unlawful purpose or in violation of any law; (b) Harvest or collect data about other Users without consent; (c) Access, tamper with, or use non‑public areas of the Services or MyRevify’s computer systems; (d) Interfere with or disrupt the operation of the Services or any user’s enjoyment of them; (e) Circumvent, remove, or bypass any technological protection measures; (f) Engage in fraudulent, deceptive, or misleading activities; or (g) Assist or permit any person to engage in any of the activities described above.
INTELLECTUAL PROPERTY 6.1 Ownership. Except for User Content, the Services and all materials therein, including text, graphics, logos, software, and trademarks (collectively, "MyRevify Content"), are owned by MyRevify or its licensors and are protected by intellectual‑property laws. 6.2 Limited License. Subject to your compliance with these Terms, MyRevify grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services for your personal, non‑commercial use. No rights are granted to you except as expressly set forth herein. 6.3 Feedback. If you provide suggestions, ideas, or other feedback about the Services ("Feedback"), you grant MyRevify an unrestricted, perpetual, irrevocable, royalty‑free license to use the Feedback for any purpose without obligation to you.
PRIVACY Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share your information. The Privacy Policy is incorporated into these Terms by reference.
THIRD‑PARTY LINKS AND SERVICES The Services may contain links to third‑party websites or resources. MyRevify does not endorse and is not responsible or liable for any third‑party content, products, or services. You acknowledge sole responsibility for and assume all risk arising from your use of any third‑party websites or resources.
DISCLAIMER OF WARRANTIES THE SERVICES AND MYREVIFY CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
LIMITATION OF LIABILITY TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MYREVIFY OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES OR MYREVIFY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MYREVIFY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL MYREVIFY’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
INDEMNIFICATION You agree to defend, indemnify, and hold harmless MyRevify and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with (a) your access to or use of the Services; (b) your User Content; or (c) your violation of these Terms or any applicable law.
TERMINATION We may suspend or terminate your account or access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease. Sections 4.2, 6, 9–14, and any other provision that by its nature should survive termination will survive.
GOVERNING LAW AND DISPUTE RESOLUTION 13.1 Governing Law. These Terms and any dispute arising out of or related to them are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict‑of‑law principles. 13.2 Arbitration. Except for claims that qualify for small‑claims court, all disputes arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in Wilmington, Delaware. You and MyRevify waive the right to a jury trial and to participate in class actions or class‑wide arbitration.
INTERNATIONAL USERS The Services are controlled and operated from the United States. We make no representations that the Services are appropriate or available for use in other locations. You are responsible for compliance with local laws.
MISCELLANEOUS If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. No waiver by either party of any breach or default will be deemed a waiver of any subsequent breach or default. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction. These Terms constitute the entire agreement between you and MyRevify regarding the Services and supersede all prior agreements and understandings.
